This Privacy Policy explains how Redshift Software LLC, a Delaware limited liability company, collects, uses, shares, stores, and protects information when you access or use NEXPA.
NEXPA is a technology platform that helps users discover venues, submit booking requests, create events, sell tickets, purchase tickets, manage guest lists, communicate with other users, and discover public events.
This Privacy Policy applies to the NEXPA website, mobile applications, software, ticketing features, venue discovery tools, booking-request features, event pages, messaging tools, payment-related integrations, communications, and related services.
By accessing or using NEXPA, you acknowledge that we collect, use, disclose, and retain information as described in this Privacy Policy.
If you do not agree with this Privacy Policy, you should not use NEXPA.
NEXPA is operated by Redshift Software LLC.
NEXPA allows Hosts to create venue listings, allows Organizers to discover venues and submit booking requests, and allows Guests to discover events and purchase tickets.
Venue listings on NEXPA are discovery-focused. NEXPA does not require Hosts to display venue rental pricing on listings. Venue booking arrangements are handled directly between the applicable Host, Venue, Organizer, Guest, or third party.
NEXPA does not charge a commission on venue bookings. Venue booking through NEXPA is intended to be a listing, discovery, communication, and booking-request experience, not a venue-rental payment checkout system.
NEXPA’s paid transaction model applies to ticket sales. Paid ticket transactions may be processed through Stripe Connect using direct charges on the applicable Organizer’s connected Stripe account. In that structure, the Organizer is the merchant of record for the ticket transaction unless otherwise disclosed at checkout, and NEXPA receives an application fee through Stripe Connect.
NEXPA does not hold Organizer ticket proceeds, maintain stored balances for Organizers, or issue Organizer payouts. Organizer payouts are managed by Stripe through the Organizer’s connected Stripe account.

NEXPA does not store full payment card numbers. Full payment card data is handled by Stripe or another Payment Processor.
Organizers who sell paid Tickets through NEXPA may be required to create or connect a Stripe Express account. Stripe may collect information directly from Organizers, including identity verification information, business information, tax information, bank account information, beneficial ownership information, date of birth, address, government identification, and other information required by Stripe, financial partners, card networks, or applicable law.

We use sensitive information only for permitted purposes, such as payment processing, identity verification, fraud prevention, legal compliance, safety, security, account protection, and support.
We use information to operate, protect, improve, personalize, and grow NEXPA.
We may use information to:
We may share information as described below.
NEXPA is a marketplace, venue discovery, booking-request, and event ticketing platform. Certain information must be shared between users to make the Platform work.
For example:
We share information with Payment Processors, including Stripe and Stripe Connect, to support Ticket payments, application fees, refunds, disputes, chargebacks, fraud prevention, identity verification, connected-account onboarding, tax reporting, and payment compliance.
For paid Ticket transactions, payments may be processed as direct charges on the applicable Organizer’s connected Stripe account. In that structure, Stripe processes the payment on the Organizer’s connected account, the Organizer is the merchant of record unless otherwise disclosed, and NEXPA receives an application fee through Stripe Connect.
We may share transaction-related information with Stripe, including:
Stripe may collect information directly from you and process it under Stripe’s own terms and privacy policies.
Organizers who use Stripe Express connected accounts may be required to complete Stripe onboarding, identity verification, tax information collection, bank account connection, and other compliance steps directly through Stripe.
NEXPA does not control Stripe’s verification decisions, payout timing, account holds, account restrictions, processing decisions, chargeback decisions, or legal compliance requirements.
We may share information with vendors and service providers that help us operate NEXPA, including providers of:
These providers may access information only as needed to provide services to NEXPA, subject to appropriate contractual obligations where required.
We may share relevant information with Hosts, Venues, and Organizers to support:
For example, if a Guest purchases a Ticket to an Event, the Organizer may receive the Guest’s name, email address, Ticket type, Ticket quantity, order status, check-in status, and other information needed to manage the Event.
We may share information with business partners where necessary to provide or promote NEXPA features, co-sponsored events, featured placements, venue partnerships, integrations, or other services.
We will not give business partners unrestricted access to Personal Information unless permitted by law and disclosed through this Privacy Policy or another appropriate notice.
We may share information when we believe it is reasonably necessary to:
We may share or transfer information in connection with a merger, acquisition, financing, investment, reorganization, bankruptcy, sale of assets, corporate transaction, change of control, or evaluation of such transactions.
We may share information with your consent or at your direction.
Some information on NEXPA may be public or visible to other users.
Public or semi-public information may include:
You should not submit information to public areas of NEXPA that you do not want others to see.
NEXPA may use public Platform content to promote NEXPA, Events, Venues, Hosts, Organizers, or Platform features.
NEXPA uses Stripe Connect to support paid Ticket transactions on the Platform.
For paid Ticket sales, NEXPA is designed to use Stripe Connect direct charges. This means the payment is processed on the Organizer’s connected Stripe account. The Organizer is the merchant of record for the Ticket sale unless otherwise disclosed at checkout.
NEXPA does not hold Organizer Ticket proceeds, maintain stored balances for Organizers, or issue Organizer payouts. Payouts to Organizers are handled by Stripe through the Organizer’s connected Stripe account.
NEXPA may receive an application fee from paid Ticket transactions. The application fee may include NEXPA’s percentage-based platform fee, flat ticket fee, or other disclosed platform fees.
Stripe may deduct its own processing fees from the transaction according to Stripe’s terms, pricing, and account configuration.
For free Tickets, no payment may be processed through Stripe, and no NEXPA platform fee may apply. NEXPA may still process free Ticket registration information, guest list information, attendance information, and Event-related data.
Organizers who sell paid Tickets may be required to create, connect, or maintain a Stripe Express account. Stripe may collect and process identity verification information, business information, tax information, bank account information, ownership information, payout information, date of birth, address, government identification, and other compliance information.
NEXPA may receive limited connected-account information from Stripe, including onboarding status, verification status, payout status, dispute status, refund status, chargeback status, account capability status, and other information needed to operate, secure, support, and enforce the Platform.
Stripe’s own terms and privacy policies apply to Stripe’s collection and processing of information. Organizers may also be subject to Stripe’s Connected Account Agreement and other Stripe terms.
NEXPA does not store full payment card numbers.
NEXPA does not determine all tax obligations related to Ticket sales. Unless NEXPA implements a specific tax calculation or remittance feature, Organizers are responsible for determining whether taxes apply to their Ticket sales, Event revenue, fees, or other transactions. NEXPA may collect, use, retain, or share tax-related information if required by law, Stripe, payment partners, or Platform operations.
NEXPA may collect and process information needed to calculate, display, and support Ticket pricing.
For paid Tickets, the buyer may see an all-in Ticket price before completing a purchase. This all-in price may include:
NEXPA may also calculate a percentage-based application fee deducted from the Organizer’s Ticket revenue. This percentage may vary by Event, Organizer, ticket tier, sales volume, pricing band, or other disclosed commercial arrangement.
We may use Ticket pricing and fee information to:
